Anthropic Plans to Grant 50.1% Voting Rights to 7 Founders

Anthropic is seeking shareholder approval for a new equity structure that would grant special shares to CEO Dario Amodei and six other co-founders, giving the seven a combined 50.1% voting rights on most company matters. This structure requires at least three founders to continue holding a minimum percentage of shares, aimed at helping the founding team maintain control after the company's IPO. Currently, the seven co-founders each hold about 2% of the company's shares, and the new shares do not carry additional economic rights, only enhanced voting power. Additionally, Anthropic's long-term benefit trust will still have the power to elect a majority of board members, with the number of founder board seats increasing from two to three, and employees will also gain voting rights to break ties on certain matters.
